We are offering $1,150,000,000 aggregate principal amount of our fixed rate notes due 2027 (the 2027 fixed rate notes), $1,000,000,000 aggregate principal amount of our fixed rate notes due 2030 (the 2030 fixed rate notes), $650,000,000 aggregate principal amount of our fixed rate notes due 2032 (the 2032 fixed rate notes) and $700,000,000 aggregate principal amount of our fixed rate notes due 2035 (the reopened 2035 fixed rate notes). We refer to the 2027 fixed rate notes, the 2030 fixed rate notes, the 2032 fixed rate notes and the reopened 2035 fixed rate notes as the notes.
The 2027 fixed rate notes will mature on July 30, 2027, the 2030 fixed rate notes will mature on February 1, 2030, and the 2032 fixed rate notes will mature on February 1, 2032. We will pay interest on the 2027 fixed rate notes semiannually in arrears on January 30 and July 30 of each year starting on January 30, 2025. We will pay interest on the 2030 fixed rate notes and 2032 fixed rate notes semiannually in arrears on February 1 and August 1 of each year starting on February 1, 2025. The 2027 fixed rate notes will bear interest at the rate of 4.650% per annum, the 2030 fixed rate notes will bear interest at the rate of 4.700% per annum and the 2032 fixed rate notes will bear interest at the rate of 4.750% per annum. The reopened 2035 fixed rate notes have identical terms (other than the issue date and issue price) as, and are a part of a single series with, the $750,000,000 principal amount of our 5.000% senior notes due 2035, issued on March 1, 2024 (the original 2035 fixed rate notes). The reopened 2035 fixed rate notes will bear interest at the rate of 5.000% per annum. Interest on the reopened 2035 fixed rate notes is payable semi-annually on March 1 and September 1 of each year starting on September 1, 2024. The reopened 2035 fixed rate notes will mature on March 1, 2035.
We may redeem any series of the notes at any time and from time to time at our option, either in whole or in part, at the applicable redemption price described under Description of the NotesOptional Redemption.
The notes will be our senior unsecured and unsubordinated obligations and will rank equally among themselves and with all of our existing and future senior unsecured debt and senior to all of our subordinated debt.
The notes will not be listed on any securities exchange. Currently, there is no public market for any series of the notes.

Negative covenants in the Indenture will have a limited effect.
The Indenture governing the notes contains negative covenants that apply to us; however, the limitation on mortgages and limitation on sale and leaseback covenants contain exceptions that will allow us to create, grant or incur liens or security interests with respect to our headquarters and certain other material facilities. See Description of Debt SecuritiesCovenants in the accompanying prospectus. In light of these exceptions, holders of the notes may be structurally or contractually subordinated to new lenders.
Changes in our credit ratings may adversely affect the value of the notes.
We expect that the notes will be rated by one or more nationally recognized statistical rating organizations. Such ratings are not recommendations to buy, sell or hold the notes, are limited in scope, and do not address all material risks relating to an investment in the notes, but rather reflect only the view of each rating agency at the time the rating is issued. An explanation of the significance of such rating may be obtained from such rating agency. We are offering $1,150,000,000 aggregate principal amount of our 2027 fixed rate notes, $1,000,000,000 aggregate principal amount of our 2030 fixed rate notes, $650,000,000 aggregate principal amount of our 2032 fixed rate notes and $700,000,000 aggregate principal amount of our reopened 2035 fixed rate notes.
Each series of the notes will be issued as separate series under the Indenture. The 2027 fixed rate notes will mature on July 30, 2027, the 2030 fixed rate notes will mature on February 1, 2030, the 2032 fixed rate notes will mature on February 1, 2032 and the reopened 2035 fixed rate notes will mature on March 1, 2035.
The reopened 2035 fixed rate notes offered by this prospectus supplement have the same terms as the original 2035 fixed rate notes, other than the issue date and the issue price. The reopened 2035 fixed rate notes form a part of the same series as the original 2035 fixed rate notes and will be issued under the Indenture as described below. The reopened 2035 fixed rate notes are expected to have the same ISIN, Common Code and CUSIP number as, and upon closing are expected to be fully fungible (including for U.S. federal income tax purposes) and trade interchangeably with, other outstanding notes in the series. Interest
The 2027 fixed rate notes, the 2030 fixed rate notes and the 2032 fixed rate notes will bear interest from August 1, 2024. The reopened 2035 fixed rate notes will bear interest from March 1, 2024.
The 2027 fixed rate notes will bear interest at a fixed rate of 4.650% per annum, the 2030 fixed rate notes will bear interest at a fixed rate of 4.700% per annum, the 2032 fixed rate notes will bear interest at a fixed rate of 4.750% per annum and the reopened 2035 fixed rate notes will bear interest at a fixed rate of 5.000% per annum. Interest on the 2027 notes, the 2030 notes and the 2032 notes will accrue from August 1, 2024, and interest on the reopened 2035 fixed rate notes will accrue from March 1, 2024, or, with respect to all notes, from the most recent interest payment date to which interest has been paid or provided for, to but excluding the relevant interest payment date. We will make interest payments on the 2027 fixed rate notes semiannually in arrears on January 30 and July 30 of each year, beginning on January 30, 2025, to the person in whose name such notes are registered at the close of business on the immediately preceding January 15 or July 15, as applicable. On or after the 2027 Par Call Date, with respect to the 2027 fixed rate notes, the 2030 Par Call Date, with respect to the 2030 fixed rate notes, the 2032 Par Call Date, with respect to the 2032 fixed rate notes and the 2035 Par Call Date, with respect to the reopened 2035 fixed rate notes, we may redeem such notes of the applicable series, in whole or in part, at any time and from time to time, at a redemption price equal to 100% of the principal amount of the notes of such series being redeemed plus accrued and unpaid interest thereon to the redemption date.

Any redemption may, at our discretion, be subject to one or more conditions precedent, which will be set forth in the related notice of redemption, including, but not limited to, completion of an offering or financing or other transaction or event. In addition, if such redemption is subject to satisfaction of one or more conditions precedent, such notice will describe each such condition, and if applicable, will state that, in our discretion, the redemption date may be delayed until such time (provided, however, that any redemption date will not be more than 60 days after the date of the notice of redemption) as any or all such conditions will be satisfied, or such redemption may not occur and such notice may be rescinded in the event that any or all such conditions will not have been satisfied by the redemption date, or by the redemption date as so delayed. If any such condition precedent has not been satisfied, we will provide written notice to the trustee prior to the close of business one business day prior to the redemption date. Upon receipt of such notice, the notice of redemption will be rescinded or delayed, and the redemption of the notes will be rescinded or delayed as provided in such notice. Upon receipt, the trustee will provide such notice to each holder in the same manner in which the notice of redemption was given.
The notes called for redemption become due on the date fixed for redemption. Notices of redemption will be mailed by first-class mail or sent by electronic transmission at least 10 days but not more than 60 days before the redemption date to each holder of the applicable series of notes to be redeemed at its registered address. The notice of redemption for the notes will state, among other things, the amount and CUSIP number of the note to be redeemed. Unless we default in payment of the redemption price, on and after the date of redemption, interest will cease to accrue on any notes that are redeemed. If less than all the notes are redeemed at any time, the trustee will select notes by lot or on a pro rata basis or by any other method the trustee deems fair and appropriate in accordance with the applicable procedures of DTC.
Business Day means each Monday, Tuesday, Wednesday, Thursday and Friday that is not a day on which banking institutions in the place of payment are authorized or obligated by law to close.
Treasury Rate means, with respect to any redemption date, the yield determined by us in accordance with the following two paragraphs.
The Treasury Rate shall be determined by us after 4:15 p.m., New York City time (or after such time as yields on U.S. government securities are posted daily by the Board of Governors of the Federal Reserve System), on the third business day preceding the redemption date based upon the yield or yields for the most recent day that appear after such time on such day in the most recent statistical release published by the Board of Governors of the Federal Reserve System designated as Selected Interest Rates (Daily) - H.15 (or any successor designation or publication) (H.15) under the caption U.S. government securitiesTreasury constant maturitiesNominal (or any successor caption or heading) (H.15 TCM). In determining the Treasury Rate, we shall select, as applicable: (1) the yield for the Treasury constant maturity on H.15 exactly equal to the period from the redemption date to the applicable Par Call Date (the Remaining Life); or (2) if there is no such Treasury constant maturity on H.15 exactly equal to the Remaining Life, the two yields one yield corresponding to the Treasury constant maturity on H.15 immediately shorter than and one yield corresponding to the Treasury constant maturity on H.15 immediately longer than the Remaining Life and shall interpolate to the applicable Par Call Date on a straight-line basis (using the actual number of days) using such yields and rounding the result to three decimal places; or (3) if there is no such Treasury constant maturity on H.15 shorter than or longer than the Remaining Life, the yield for the single Treasury constant maturity on H.15 closest to the Remaining Life. For purposes of this paragraph, the applicable Treasury constant maturity or maturities on H.15 shall be deemed to have a maturity date equal to the relevant number of months or years, as applicable, of such Treasury constant maturity from the redemption date.
If on the third business day preceding the redemption date H.15 TCM is no longer published, we shall calculate the Treasury Rate based on the rate per annum equal to the semi-annual equivalent yield to maturity at 11:00 a.m., New York City time, on the second business day preceding such redemption date of the United States Treasury security maturing on, or with a maturity that is closest to the applicable Par Call Date. If there is no United States Treasury security maturing on such Par Call Date, but there are two or more United States Treasury securities with a maturity date equally distant from such Par Call Date, one with a maturity date preceding such

Par Call Date and one with a maturity date following such Par Call Date, we shall select the United States Treasury security with a maturity date preceding such Par Call Date. If there are two or more United States Treasury securities maturing on such Par Call Date for such series of notes or two or more United States Treasury securities meeting the criteria of the preceding sentence, we shall select from among these two or more United States Treasury securities the United States Treasury security that is trading closest to par based upon the average of the bid and asked prices for such United States Treasury securities at 11:00 a.m., New York City time. In determining the Treasury Rate in accordance with the terms of this paragraph, the semi-annual yield to maturity of the applicable United States Treasury security shall be based upon the average of the bid and asked prices (expressed as a percentage of principal amount) at 11:00 a.m., New York City time, of such United States Treasury security, and rounded to three decimal places.
Our actions and determinations in determining the redemption price shall be conclusive and binding for all purposes, absent manifest error.
No notes of a principal amount of $2,000 or less will be redeemed in part. If any note is to be redeemed in part only, the notice of redemption that relates to the note will state the portion of the principal amount of the note to be redeemed. A new note of any series in a principal amount equal to the unredeemed portion of the note will be issued in the name of the holder of the note upon surrender for cancellation of the original note. For so long as the notes of a series are held by DTC (or another depositary), the redemption of the notes of such series shall be done in accordance with the policies and procedures of the depositary.
Except as set forth above, the notes will not be redeemable by us prior to maturity and will not be entitled to the benefit of any sinking fund.
Further Issues
We may from time to time, without notice to or the consent of the registered holders of a series of notes, create and issue further debt securities of any such series ranking equally with the notes of the corresponding series and having the same terms in all respects (other than the issue date, the payment of interest accruing prior to the issue date of such further notes or except for the first payment of interest following the issue date of such further notes); provided that such additional debt securities of any series shall not be issued with the same CUSIP number as the notes of their corresponding series unless such additional debt securities are issued in a qualified reopening of the original series, are otherwise treated as part of the same issue of debt instruments as the original series or are issued with less than a de minimis amount of original issue discount, in each case for U.S. federal income tax purposes. Such further debt securities will be consolidated and form a single series with the notes of the corresponding series.

We and our affiliates maintain various commercial and service relationships with the trustee and its affiliates in the ordinary course of business. An affiliate of the trustee is an underwriter in this offering and a participant in our $1.5 billion 364-Day Credit Agreement, maturing in March 2025 (unless converted to a term loan), our $1.5 billion Second 364-Day Credit Agreement, maturing in July 2025 (unless converted to a term loan) and our $4.0 billion Amended and Restated Five Year Credit Agreement, maturing in March 2029.

The following is a summary of the material United States (U.S.) federal income tax considerations that may be relevant to a holder of a note. This summary is based on provisions of the Internal Revenue Code of 1986, as amended (the Code), applicable U.S. Department of the Treasury regulations, laws, rulings and decisions (U.S. Treasury Regulations) now in effect, all of which are subject to change, possibly with retroactive effect. This summary deals only with beneficial owners of notes that will hold notes as capital assets and acquired notes, in the case of the 2027 fixed rate notes, the 2030 fixed rate notes and the 2032 fixed rate notes, upon original issuance at their original issue price, which, for a series of notes will equal the first price at which a substantial amount of the notes of that series is sold for money to the public (not including bond houses, brokers or similar persons or organizations acting in the capacity of underwriters, placement agents or wholesalers), and in the case of the reopened 2035 fixed rate notes, in this offering at the offering price listed on the first page of this prospectus supplement. This summary does not address particular tax considerations that may be applicable to investors that are subject to special tax rules, such as banks, tax-exempt entities, insurance companies, regulated investment companies, dealers in securities or currencies, traders in securities electing to mark to market, persons that will hold notes as a position in a straddle or conversion transaction, or as part of a synthetic security or other integrated financial transaction, entities taxed as partnerships or the partners therein, U.S. expatriates, nonresident alien individuals present in the United States for more than 182 days in a taxable year, or U.S. persons that have a functional currency other than the U.S. dollar.

Investors should consult their own tax advisors in determining the tax consequences to them of holding notes under such tax laws, as well as the application to their particular situation of the U.S. federal income tax considerations discussed below.
As used herein, a U.S. holder is a beneficial owner of a note that is a citizen or resident of the United States or a U.S. domestic corporation or that otherwise will be subject to U.S. federal income taxation on a net income basis in respect of the note. A Non-U.S. holder is a beneficial owner of a note that is an individual, corporation, estate or trust and is not a U.S. holder.
This discussion does not address non-U.S. holders that hold their notes in connection with a U.S. trade or business. Such non-U.S. holders should consult their tax advisers regarding the consequences of purchasing, owning and disposing of the notes.
U.S. Holders
Qualified Reopening. For U.S. federal income tax purposes, the reopened 2035 fixed rate notes offered hereby are expected to be treated as issued in a qualified reopening of the original 2035 fixed rate notes which were issued without original issue discount. Debt instruments issued in such a qualified reopening are deemed to be part of the same issue as the original debt instruments. Under the treatment described in this paragraph, the reopened 2035 fixed rate notes will have the same issue date, the same issue price and the same adjusted issue price as the original 2035 fixed rate notes for U.S. federal income tax purposes. This discussion assumes that the reopened 2035 fixed rate notes offered hereby are issued in a qualified reopening.
Pre-Reopening Accrued Interest. The initial offering price for the reopened 2035 fixed rate notes will include amounts attributable to interest accrued from March 1, 2024, which we call pre-reopening accrued interest. Pre-reopening accrued interest will be included in the accrued interest to be paid on the reopened 2035 fixed rate notes on the first interest payment date after the issuance of the reopened 2035 fixed rate notes. In accordance with applicable U.S. Treasury regulations, for U.S. federal income tax purposes, we will treat the reopened 2035 fixed rate notes as having been issued for a price that does not include any pre-reopening accrued interest. We intend to treat the portion of the first stated interest payment equal to the pre-reopening accrued interest as a nontaxable return of such pre-reopening accrued interest and, accordingly, it generally will not be includable in income. Pre-reopening accrued interest so treated and not included in income should not form part of any amortizable bond premium, as discussed below under Premium. U.S. holders should consult their tax advisers regarding the tax treatment of pre-reopening accrued interest.

Payments of Interest. Subject, in the case of the reopened 2035 fixed rate notes, to the discussion above regarding pre-reopening accrued interest, and the discussion below regarding premium, payments of stated interest will be taxable to a U.S. holder as ordinary interest income at the time it accrues or is actually or constructively received, in accordance with the holders method of accounting for U.S. federal income tax purposes. It is expected, and this discussion assumes, that the newly issued notes will be issued without original issue discount (OID). In general, however, if such notes are issued with OID at or above a de minimis threshold, a U.S. holder of such notes will be required to include OID in gross income, as ordinary income, under a constant-yield method before the receipt of cash attributable to such income, regardless of the U.S. holders regular method of accounting for U.S. federal income tax purposes.
Premium. A U.S. holder that purchases the reopened 2035 fixed rate notes offered hereby at a cost (excluding any amount attributable to pre-reopening accrued interest) greater than the principal amount of those notes will be considered to have purchased those notes at a premium, and generally may elect to amortize the premium (as an offset to interest income), using a constant yield method, over the remaining term of those notes. However, because we may redeem the reopened 2035 fixed rate notes prior to maturity at a premium, special rules apply that may reduce, eliminate or defer the amount of premium that a U.S. holder may amortize with respect to those notes. If a U.S. holder makes the election to amortize premium, it generally will apply to all taxable debt instruments that the U.S. holder holds during the taxable year for which the election is made, as well as any taxable debt instruments that such U.S. holder subsequently acquire. In addition, a U.S. holder may not revoke the election without the consent of the Internal Revenue Service (the IRS). U.S. holders that elect to amortize the premium will be required to reduce their tax basis in the reopened 2035 fixed rate notes by the amount of the premium amortized during their holding period. For U.S. holders that do not elect to amortize premium, the amount of premium will be included in their tax basis in the reopened 2035 fixed rate notes. Therefore, if a U.S. holder does not elect to amortize premium and holds the reopened 2035 fixed rate notes to maturity, such U.S. holder generally will be required to treat the premium as capital loss when those notes mature.
Sale, Exchange and Retirement of Notes. Upon the sale, exchange or retirement of a note, a U.S. holder generally will recognize gain or loss equal to the difference between the amount realized on the sale, exchange or retirement (less any accrued interest, which will be taxable as such) and the U.S. holders adjusted tax basis in such note.
A U.S. holders adjusted tax basis in a note should generally equal the cost of the note to such holder (in the case of the reopened 2035 fixed rate notes, excluding any amount attributable to pre-reopening accrued interest and reduced by any amortizable bond premium previously amortized). Gain or loss recognized by a U.S. holder generally will be long-term capital gain or loss if the U.S. holder has held the note for more than one year at the time of disposition. Long-term capital gains recognized by a non-corporate U.S. holder generally are subject to tax at a lower rate than short-term capital gains or ordinary income. The deduction of capital losses is subject to limitations.
Non-U.S. Holders
Payments of Interest. Subject to the discussions below under FATCA and Information Reporting and Backup Withholding, payments of interest on the notes to a Non-U.S. holder generally will be exempt from withholding of U.S. federal income tax under the portfolio interest exemption provided that (i) the Non-U.S. holder properly certifies as to its foreign status by providing a properly executed IRS Form W-8BEN or W-8BEN-E (or appropriate substitute form) to the applicable withholding agent; (ii) the Non-U.S. holder does not actually or constructively own 10% or more of the total combined voting power of our stock entitled to vote;

and (iii) the Non-U.S. holder is not a controlled foreign corporation that is related to us actually or constructively through stock ownership. Non-U.S. holders should note that, although we intend to treat a portion of the first interest payment on the reopened 2035 fixed rate notes as a non-taxable return of capital as described above under U.S. HoldersPre-Reopening Accrued Interest, a payor may withhold on the full amount of the first interest payment on the reopened 2035 fixed rate notes if the Non-U.S. holder does not establish an exemption from U.S. federal withholding tax as described above.
Sale, Exchange and Retirement of Notes. Subject to the discussion below under Information Reporting and Backup Withholding, a Non-U.S. holder generally will not be subject to U.S. federal income tax on gain recognized on a sale, exchange or retirement of any note.
FATCA. Under the U.S. tax rules known as the Foreign Account Tax Compliance Act (FATCA), a holder of notes will generally be subject to a 30% U.S. withholding tax on interest payments on the notes if the holder is not FATCA compliant, or holds its notes through a foreign financial institution that is not FATCA compliant. In order to be treated as FATCA compliant, a holder must provide certain documentation (usually an IRS Form
W-8BEN or W-8BEN-E) containing information about its identity, its FATCA status, and if required, its direct and indirect U.S. owners. These requirements may be modified by the adoption or implementation of an intergovernmental agreement between the U.S. and another country or by future U.S. Treasury Regulations. If any taxes are required to be deducted or withheld from any payments in respect of the notes as a result of a beneficial owner or intermediarys failure to comply with the foregoing rules, no additional amounts will be paid on the notes as a result of the deduction or withholding of such tax.
Documentation that holders provide in order to be treated as FATCA compliant may be reported to the IRS and other tax authorities, including information about a holders identity, its FATCA status, and if applicable, its direct and indirect U.S. owners. Prospective investors should consult their own tax advisers about how information reporting and the possible imposition of withholding tax under FATCA may apply to their investment in the notes.
Information Reporting and Backup Withholding
Information returns will be filed with the IRS in connection with payments on the notes made to, and the proceeds of dispositions of notes effected by, certain U.S. holders. In addition, certain U.S. holders may be subject to backup withholding in respect of such amounts if they do not provide their taxpayer identification numbers to the person from whom they receive payments. Commissions and Discounts
The underwriters have advised us that they propose initially to offer the notes to the public for cash at the public offering prices set forth on the cover of this prospectus supplement, and to certain dealers at such prices less concessions not in excess of 0.150% of the principal amount of the 2027 fixed rate notes, less concessions not in excess of 0.200% of the principal amount of the 2030 fixed rate notes, less concessions not in excess of 0.250% of the principal amount of the 2032 fixed rate notes and less concessions not in excess of 0.250% of the principal amount of the reopened 2035 fixed rate notes. The underwriters may allow, and such dealers may reallow, a concession not in excess of 0.100% of the principal amount of the 2027 fixed rate notes, not in excess of 0.150% of the principal amount of the 2030 fixed rate notes, not in excess of 0.150% of the principal amount of the 2032 fixed rate notes and not in excess of 0.200% of the principal amount of the reopened 2035 fixed rate notes. After the initial public offering of the notes, the public offering price and other selling terms may be changed.
We estimate that our share of the total expenses of the offering, excluding underwriting discounts, will be approximately $7 million.
New Issue of Notes
Each series of the notes is a new issue of securities with no established trading market. The notes of all series will not be listed on any securities exchange or on any automated dealer quotation system. The representatives may make a market in each series of the notes after completion of the offering, but will not be obligated to do so and may discontinue any market making activities at any time without notice. Price Stabilization and Penalty Bids
In connection with this offering, the underwriters (or any person acting on behalf of the underwriters) may over-allot notes or effect transactions which stabilize or maintain the market price of the notes at levels which might not otherwise prevail. This stabilizing, if commenced, may be discontinued at any time. Any stabilization action or over-allotment will be conducted by the stabilizing manager (or persons acting on behalf of the stabilizing manager) in accordance with all applicable laws and rules. T+3 Settlement

Covenants

Consolidation, Merger and Sale of Assets. The indenture provides that we may not consolidate with or merge into any other person or sell our assets substantially as an entirety, unless:
| the person formed by such consolidation or into which we are merged or the person which acquires our assets is a person organized in the United States of America and expressly assumes the due and punctual payment of the principal of and interest on all the debt securities and the performance of every covenant of the indenture on our part; |
| immediately after giving effect to such transaction, no event of default, and no event which, after notice or lapse of time, or both, would become an event of default, shall have happened and be continuing; and |
| we have delivered to the trustee an officers certificate and an opinion of counsel each stating that such consolidation or transfer and a supplemental indenture, if applicable, comply with the indenture and that all conditions precedent herein provided for relating to such transaction have been complied with. |

Upon such consolidation, merger or sale, the successor corporation formed by such consolidation or into which we are merged or to which such sale is made will succeed to, and be substituted for, us under the indenture, and the predecessor corporation shall be released from all obligations and covenants under the indenture and the debt securities.
The indenture does not restrict, or require us to redeem or permit holders to cause redemption of debt securities in the event of:
| a consolidation, merger, sale of assets or other similar transaction that may adversely affect our creditworthiness or the successor or combined entity; |
| a change in control of us; or |
| a highly leveraged transaction involving us whether or not involving a change in control. |
Accordingly, the holders of debt securities would not have protection in the event of a highly leveraged transaction, reorganization, restructuring, merger or similar transaction involving us that may adversely affect the holders. The existing protective covenants applicable to the debt securities would continue to apply to us in the event of a leveraged buyout initiated or supported by us, our management, or any of our affiliates or their management, but may not prevent such a transaction from taking place.
Events of Default, Notice and Waiver
The indenture provides that if an event of default shall have occurred and be continuing with respect to any series of debt securities, then either the trustee or the holders of not less than 25% in outstanding principal amount of the debt securities of that series may declare to be due and payable immediately the outstanding principal amount of the debt securities of the affected series, together with interest, if any, accrued thereon; provided, however, that if the event of default is any of certain events of bankruptcy, insolvency or reorganization, all the debt securities, together with interest, if any, accrued thereon, will become immediately due and payable without further action or notice on the part of the trustee or the holders.
Under the indenture, an event of default with respect to the debt securities of any series is any one of the following events:
(1) | default for 30 days in payment when due of any interest due with respect to the debt securities of such series; |
(2) | default in payment when due of principal of or of premium, if any, on the debt securities of such series; |
(3) | default in the observance or performance of any other covenant or agreement contained in the indenture which default continues for a period of 90 days after we receive written notice specifying the default (and demanding that such default be remedied) from the trustee or the holders of at least 25% of the principal amount of securities of that series then outstanding (with a copy to the trustee if given by holders) (except in the case of a default with respect to certain consolidations, mergers, or sales of assets as set forth in Section 10.01 of the indenture, which will constitute an event of default with such notice requirement but without such passage of time requirement), provided, however, that the sole remedy of holders of the securities for an event of default relating to the failure to file any documents or reports that Honeywell is required to file with the SEC pursuant to Section 13 or 15(d) of the Securities Exchange Act of 1934, as amended, and for any failure to comply with the requirements of Section 314(a)(1) of the Trust Indenture Act of 1939, as amended, which we refer to as the Trust Indenture Act, to provide such documents or reports, within 30 days after filing with the SEC, to the trustee pursuant to Section 14.04 of the indenture, will for the first 60 days after the occurrence of such an event of default, or such shorter period until such event of default has been cured or waived, consist exclusively of the right to receive additional interest on the securities at an annual rate equal to 0.25% |

of the outstanding principal amount of the securities, and that, on the 61st day after such event of default (if such event of default is not cured or waived prior to such 61st day), the securities will be subject to acceleration as provided in the indenture; |
(4) | certain events of bankruptcy, insolvency and reorganization; and |
(5) | any other event of default provided with respect to debt securities of that series. |
The indenture provides that the trustee will, within 90 days after the occurrence of a default with respect to the debt securities of any series, give to the holders of debt securities of such series notice of such default known to it, unless cured or waived; provided that except in the case of default in the payment of principal, or interest or premium, if any, on any debt security of such series or in the payment of any sinking fund installment with respect to debt securities of such series, the trustee will be protected in withholding such notice if and so long as the board of directors, the executive committee or a trust committee of directors and/or specified officers of the trustee in good faith determine that the withholding of such notice is in the interests of the holders of debt securities of such series. The term default for the purpose of this provision means any event that is, or after notice or lapse of time, or both, would become, an event of default.
The indenture contains a provision entitling the trustee, subject to the duty of the trustee during the continuance of an event of default to act with the required standard of care, to be indemnified by the holders before proceeding to exercise any right or power under the indenture at the request of such holders. The indenture provides that the holders of a majority in outstanding principal amount of the debt securities of any series may, subject to certain exceptions, on behalf of the holders of debt securities of such series direct the time, method and place of conducting proceedings for remedies available to the trustee, or exercising any trust or power conferred on the trustee.
The indenture includes a covenant that we will file annually with the trustee a certificate of no default, or specifying any default that exists.
In certain cases, the holders of a majority in outstanding principal amount of the debt securities of any series may on behalf of the holders of debt securities of such series rescind a declaration of acceleration or waive any past default or event of default with respect to the debt securities of that series except a default not theretofore cured in payment of the principal of, or interest or premium, if any, on any debt security of such series or in respect of a provision which under the indenture cannot be modified or amended without the consent of the holder of each such debt security.
No holder of a debt security of any series will have any right to institute any proceeding with respect to the indenture or the debt securities of any series or for any remedy thereunder unless:
| such holder shall have previously given to the trustee written notice of a continuing event of default; |
| the holders of at least 25% in aggregate principal amount of the outstanding debt securities of such series have also made such a written request; |
| such holder or holders have provided indemnity satisfactory to the trustee to institute such proceeding as trustee; |
| the trustee has not received from the holders of a majority in outstanding principal amount of the debt securities of such series a direction inconsistent with such request; and |
| the trustee has failed to institute such proceeding within 90 calendar days of such notice. |

| make any change that would provide any additional rights or benefits to the holders of all or any series of debt securities and that does not adversely affect any such holder; or |
| comply with SEC requirements in order to effect or maintain the qualification of the indenture under the Trust Indenture Act. |
In addition, except as described below, modifications and amendments of the indenture or the debt securities of any series may be made by the trustee and us with the consent of the holders of a majority in outstanding principal amount of the debt securities affected by such modification or amendment. However, no such modification or amendment may, without the consent of each holder affected thereby:

Defeasance
The indenture provides that we will be discharged from any and all obligations in respect of the debt securities of any series (except for certain obligations to register the transfer or exchange of the debt securities, to replace stolen, lost or mutilated debt securities, to maintain paying agencies and hold monies for payment in trust and to pay the principal of and interest, if any, on such debt securities), upon the irrevocable deposit with the trustee, in trust, of money and/or U.S. government securities, which through the payment of interest and principal thereof in accordance with their terms provides money in an amount sufficient to pay the principal of (and premium, if any) and interest, if any, in respect of the debt securities of such series on the stated maturity date of such principal and any installment of principal, or interest or premium, if any. Also, the establishment of such a trust will be conditioned on the delivery by us to the trustee of an opinion of counsel reasonably satisfactory to the trustee to the effect that, based upon applicable U.S. federal income tax law or a ruling published by the United States Internal Revenue Service, such a defeasance and discharge will not be deemed, or result in, a taxable event with respect to the holders. In the event we exercise our option to omit compliance with certain covenants as described in the preceding paragraph and the debt securities of such series are declared due and payable because of the occurrence of any event of default, then the amount of monies and U.S. government securities on deposit with the trustee will be sufficient to pay amounts due on the debt securities of such series at the time of the acceleration resulting from such event of default. Regarding the Trustee
The indenture contains certain limitations on the right of the trustee, should it become a creditor of ours within three months of, or subsequent to, a default by us to make payment in full of principal of or interest on any series of debt securities issued pursuant to the indenture when and as the same becomes due and payable, to obtain payment of claims, or to realize for its own account on property received in respect of any such claim as security or otherwise, unless and until such default is cured. DESCRIPTION OF PREFERRED STOCK
General
Honeywells amended and restated certificate of incorporation, or charter, authorizes the board of directors or a committee of the board of directors to cause preferred stock to be issued in one or more series, without stockholder action. Our common stock is cleared and settled though the Depositary Trust Company, or DTC, a securities depositary. Most series of debt securities and preferred stock will also be book-entry securities.
