(“Egret”), a Georgia corporation and a wholly-owned subsidiary of Honeywell International Inc., a Delaware corporation (“Honeywell” or the “Company”), to purchase all of the outstanding shares of common stock, $0.10 par value per share, of EMS Technologies, Inc., a Georgia corporation (“EMS”), to be commenced pursuant to the Agreement and Plan of Merger, dated as of June 13, 2011, by and among Egret, Honeywell and EMS.
